By creating a Wren Clinical account or using the Platform, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Platform.
Wren Clinical LLC ("Wren Clinical," "we," "us") is a Washington limited liability company. These Terms govern your access to and use of the Wren Clinical web application, the optional Wren Recorder browser extension, and related services (together, the "Platform"). In these Terms, "Client" means an individual who receives mental health services from you or your practice; this term corresponds to the term "individual" as used in the HIPAA Rules (45 CFR Part 164).
Acceptance. When you create an account, you will be presented with a checkbox stating your agreement to these Terms, the Privacy Policy, and the Business Associate Agreement. Checking that box and completing account creation constitutes your electronic signature and legally binding acceptance of all three documents, effective as of the date your account is created. This acceptance is recorded and associated with your account. You do not need to sign a separate paper agreement.
You must be a mental health professional or trainee working in a clinical capacity — including licensed clinicians, registered associates, practicum students, and interns working under supervision — or an authorized member of a mental health practice to use the Platform. By creating an account, you represent that you meet this requirement and that your use of the Platform complies with all applicable professional, supervisory, and licensure requirements in your jurisdiction.
You must create an account to access the Platform. Each account is issued to and for use by a single individual. Accounts may not be shared with or transferred to any other person. Each member of a practice who wishes to use the Platform must create their own account and agree to these Terms individually.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@wrenclinical.com if you become aware of any unauthorized use of your account.
Free Trial. New accounts receive a 14-day free trial. A payment method is not required to begin the trial. During the trial you may use the Platform without charge. Starting a paid subscription immediately ends the trial — any remaining trial days are forfeited and do not carry over into the subscription. If you do not subscribe before the trial ends, your account will enter an expired state and, if no subscription is started within thirty (30) days after trial expiration, will be automatically closed as described in Section 9.
Subscription Fees. Your monthly subscription fee covers access to the Platform. Usage charges for AI processing and transcription are billed separately in arrears as described below. Current pricing is available at wrenclinical.com/#pricing.
Usage Charges. Wren Clinical uses AI models (accessed through Amazon Web Services Bedrock) to generate clinical documentation and, when you use Wren app recording or Wren Recorder, third-party transcription services (AssemblyAI) to produce session transcripts. The cost of AI processing and transcription for a given billing period is calculated and attached as a line item to your next month's invoice. Your first usage line item will appear on your second billing statement, covering usage from your first paid period.
Billing. Subscription fees and usage charges are processed by Stripe. By providing a payment method at subscribe, you authorize Wren Clinical to charge that payment method for recurring subscription fees and usage charges until you cancel. Your subscription will automatically renew each month at the then-current base subscription fee and accrued usage charges until you cancel through your account settings.
Fee Changes - Base Subscription. The monthly base subscription fee may be changed with 30 days' written notice to the email address associated with your account. Continued use after the effective date of a base-fee change constitutes acceptance. If you do not agree with a base-fee change, you may cancel during the notice period without penalty.
Fee Changes - Usage Rates. Usage charges for AI processing and audio transcription are calculated from third-party service costs using a published formula of 25% markup over the applicable AWS Bedrock rate for each AI model and AssemblyAI's current rate plus $0.03 per audio-hour for transcription. Current per-model and per-service rates are published at wrenclinical.com/#pricing. Because underlying AI and transcription costs generally trend downward as providers become more efficient, usage-rate updates most often reduce what you pay. Wren Clinical may update the published rates in real time to reflect changes in the underlying third-party costs, without the 30-day notice described above.
New AI Models. Wren Clinical may add new AI models to the Platform as they become available (for example, a future release of Claude Sonnet). When a new model is added, Wren Clinical will notify users in-app of the model's availability and its associated rate. At that time, you may select the new model for billable work at your discretion.
Cancellation. You may cancel your subscription at any time through your account settings. When you cancel, any unbilled usage through the cancellation date is calculated and charged immediately as a final one-time invoice before your account closes. You will not receive a final invoice if you cancel during the 14-day free trial period. Further details of the closure process are in Section 9.
No Refunds. Subscription fees are non-refundable except as required by applicable law.
The Platform is licensed solely for clinical documentation purposes in compliance with applicable professional standards, supervisory requirements, and law.
Platform Changes. Wren Clinical may modify, update, or discontinue features of the Platform at any time. We will provide reasonable notice of material changes that reduce existing functionality.
Beta and Early Access Features. Certain features may be designated as beta, preview, or early access. Beta features are provided as-is without warranty of any kind. Wren Clinical does not guarantee that beta features will be available, functional, or free of errors. Beta features may be changed, suspended, or discontinued at any time without notice. By using beta features you accept these additional conditions and agree that Wren Clinical's liability with respect to beta features is excluded to the fullest extent permitted by applicable law, notwithstanding the liability provisions elsewhere in these Terms.
The Platform offers in-app session recording and, separately, an optional Google Chrome browser extension ("Wren Recorder"). Both the in-app recorder and Wren Recorder perform the same function — capturing audio from your computer's microphone and, during online sessions, from a specific browser tab you designate — and both use the same secure back-end infrastructure and transcription pipeline. The rules in this Section apply equally to recordings made through either surface.
Consent and authorization. You are solely responsible for obtaining all necessary consents and legal authorizations from your Clients (and any other session participants) before recording any session, in accordance with applicable federal, state, and local wiretapping, two-party consent, and telehealth recording laws and your professional ethics requirements. Wren Clinical does not obtain, verify, or store any consent directly from Clients.
Data flow. Captured audio is uploaded over TLS to Wren Clinical's secure infrastructure and transmitted to AssemblyAI for transcription. Upon successful transcription, audio is deleted immediately from both AssemblyAI and from Wren Clinical's temporary storage. Audio chunks that fail to transcribe or are abandoned (for example, a browser tab closed mid-upload) are automatically and permanently deleted within three (3) days by an Amazon AWS S3 lifecycle rule. The resulting transcript is stored in your account subject to your configured transcript retention window (see Section 9). Wren Clinical does not record, stream, or transmit audio to any destination other than AssemblyAI for transcription.
Extension installation. Wren Recorder is optional Google Chrome extension. You may uninstall the extension at any time; uninstalling does not affect transcripts already generated and saved to your account.

If Wren Clinical determines that an account is being shared among multiple individuals, Wren Clinical reserves the right to suspend or terminate the account immediately and without refund.
The Platform uses artificial intelligence to generate clinical documentation drafts. AI-generated output is a drafting tool only. It is not a clinical opinion, diagnosis, or professional recommendation.
You are solely responsible for reviewing all AI-generated content for accuracy, completeness, and clinical appropriateness before using, signing, or submitting any document. The therapist of record must exercise independent professional judgment with respect to all documentation.
Wren Clinical makes no warranty that AI-generated content — including transcripts produced by third-party transcription services — is clinically accurate, complete, appropriate for any specific Client, or compliant with any payer, regulatory, or licensure requirement. You are solely responsible for ensuring your documentation meets all applicable standards in your jurisdiction.
As between you and Wren Clinical, you retain all ownership of data you submit to the Platform ("Customer Data"). Wren Clinical claims no ownership of your Customer Data.
You grant Wren Clinical a limited license to process, store, and transmit Customer Data solely as necessary to provide the Platform services.
Wren Clinical will not use Customer Data, including protected health information, session transcripts, or AI-generated documentation, to train, fine-tune, or improve any AI model.
Data handling, retention, and deletion are described in Section 9 below and in the Privacy Policy and the Business Associate Agreement.
Retention during your subscription. Saved documents, guides, and practice configuration are retained for the life of your account. Session transcripts follow a per-transcript rolling retention schedule that you configure (the current range and default are specified in the Privacy Policy, Sections 4 and 5). Your chat history, including any attachments you submit in the chat, exists only in your browser and is immediately cleared when you close the browser or refresh the page.
Closure by you (self-cancel). You may close your account at any time through your account settings. When you confirm closure, Wren Clinical prepares a ZIP export of your saved documents, guides, and non-expired transcripts, and provides you with a secure download link that expires fifteen (15) minutes after generation. After you confirm the export has been downloaded (or the fifteen-minute window elapses), all of your Customer Data is permanently deleted and your Stripe subscription, if any, is cancelled with a final one-time invoice covering any unbilled usage.
Closure by us (administrative cancel). Wren Clinical may close an account for the reasons described in Section 15 (Term and Termination). If your account is closed administratively for a reason other than uncured breach, we prepare a ZIP export and send a secure download link to the email on your account that expires after seven (7) days. After the download link expires or is used, all of your Customer Data is permanently deleted and your Stripe subscription, if any, is cancelled with a final one-time invoice covering any unbilled usage. Accounts closed for uncured breach or violation of Section 6 may be closed without an export at our discretion, subject to applicable law.
Hard deletion (on request or required by law). If you request permanent deletion, or if deletion is required by law, we perform a complete purge that removes all of your account data — including Customer Data, usage records, and account identifiers — without retaining a tombstone record. Please note that hard deletion is irreversible and leaves no means for Wren Clinical to restore or re-open your account. To request hard deletion, email support@wrenclinical.com from the email address associated with your account.
Auto-closure of abandoned trials. Accounts whose 14-day free trial has expired and that have not started a paid subscription are automatically closed thirty (30) days after trial expiration. No export is generated in this case because no paid subscription was started; however, you may download or export your data at any time before closure through your account.
Usage records. Anonymized usage counters (timestamps, model names, token counts, cost totals) used for billing reconciliation are retained for as long as required by tax, audit, and accounting obligations. These records do not contain PHI, session content, or Client identifiers.
Professional record-retention obligations. State professional-licensure rules (for example, WAC 246-809-035 for Washington-licensed Mental Health Counselors) may require you to retain clinical records for longer than Wren Clinical's default retention windows. You are solely responsible for exporting and preserving records in your own systems to meet those obligations. Wren Clinical's retention defaults are designed for active use of the Platform and are not a substitute for your professional record-keeping duty.
The Platform, including all software, interfaces, guide templates, and underlying technology, is owned by Wren Clinical and protected by applicable intellectual property laws. These Terms do not transfer any ownership rights in the Platform to you.
If you provide feedback or suggestions about the Platform, Wren Clinical may use that feedback without restriction or compensation.
Each party agrees to protect the other's confidential information with at least reasonable care. Confidential information does not include information that is publicly available, independently developed, or received from a third party without restriction. Protected health information is governed exclusively by the Business Associate Agreement and applicable law.
You represent and warrant that: (a) you are a mental health professional or trainee working in a clinical capacity, including as a licensed clinician, registered associate, practicum student, or intern under supervision, or an authorized member of a mental health practice; (b) you have all necessary rights, authorizations, and consents to submit Customer Data to the Platform, including any required consents to record sessions using the in-app recorder or Wren Recorder; and (c) your use of the Platform will comply with all applicable laws, regulations, professional standards, and supervisory or training program requirements.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WREN CLINICAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY REGARDING THE ACCURACY, COMPLETENESS, OR CLINICAL APPROPRIATENESS OF AI-GENERATED CONTENT, INCLUDING TRANSCRIPTS PRODUCED BY THIRD-PARTY TRANSCRIPTION SERVICES.
WREN CLINICAL IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WREN CLINICAL'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES YOU PAID IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE CLAIM.
You agree to indemnify and hold harmless Wren Clinical and its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Platform in violation of these Terms; (b) your Customer Data; (c) your violation of any applicable law or professional standard, including recording, wiretapping, two-party consent, and telehealth recording laws; or (d) claims by your Clients arising from your clinical documentation or treatment decisions.
These Terms begin when you create an account and continue until terminated.
You may cancel at any time through your account settings.
Wren Clinical may suspend or terminate your access immediately if: (a) you breach a material term of these Terms; (b) you fail to pay subscription or usage fees; (c) continued operation would create legal, regulatory, or security risk; or (d) Wren Clinical discontinues the Platform.
Upon termination, Sections 7, 8, 10, 11, 12, 13, 14, and 16 survive, and your data is handled as described in Section 9.
Governing Law. These Terms are governed by the laws of the State of Washington. Any dispute shall be resolved in the Superior Court of Franklin County, Washington, and the parties consent to exclusive jurisdiction and venue in that court. Notwithstanding the foregoing, nothing in this clause limits any rights you may have under the mandatory consumer protection laws of your state of residence to the extent such rights cannot be contractually waived.
Updates to These Terms. Wren Clinical may update these Terms at any time by posting a revised version at wrenclinical.com/terms. For material changes, Wren Clinical will provide at least 30 days' notice by email to the address associated with your account. Non-material changes such as clarifications or corrections take effect upon posting. Continued use of the Platform after the effective date of any update constitutes acceptance. If you do not agree to a material update, your sole remedy is to terminate your account before the effective date of the change.
Entire Agreement. These Terms, together with the Privacy Policy and Business Associate Agreement, constitute the entire agreement between the parties regarding the Platform.
Severability. If any provision is found unenforceable, the remaining provisions continue in full force.
No Waiver. Failure to enforce any right does not constitute a waiver of that right.
Assignment. You may not assign these Terms without our prior written consent. Wren Clinical may assign these Terms in connection with a merger, acquisition, or sale of assets.
Notices. Notices to Wren Clinical may be sent to hello@wrenclinical.com. Notices to you will be sent to the email on your account.
